Proposed Changes to the TFNC Club Rules
Special Resolution for the TFNC General Meeting, Thursday 4th July 2024
At the June meeting of the TFNC Committee we agreed to present to a General Meeting of the TFNC a Special Resolution (see below) inserting a clause into the Club Rules. The Special Resolution to be implemented needs to be passed at a General Meeting of the TFNC with at least three quarters of members present agreeing to the change.
The reason for the addition to the Club Rules is to ensure that the TFNC Rules are consistent with the requirements of a Not For Profit organization, therefore enabling the Club to maintain its tax exempt status.
Special Resolution
That the following clause be inserted into the Club Rules of the Tasmanian Field Naturalists Club Inc, effective immediately after an affirmative vote.
5.12 In the event of the Association being wound up, all assets that remain after such winding up and the satisfaction of all debts and liabilities shall be transferred to another organisation with similar purposes, which is exempt from income tax under the Income Tax Assessment Acts and which has rules prohibiting the distribution of its assets and income to its members.
